HLetter of Engagement for Companies House Director’s Verification Code

 

We are pleased to accept theinstruction to support you in obtaining a Companies House Directors verification Code and we are writing to confirm the terms of our appointment.

 

The purpose of this letter and the attached schedule ofservice, together with our terms and conditions, is to set out our terms forcarrying out the work and to clarify our respective responsibilities. Your main point of contact and the people with primary responsibility for this assignment will be our head of Company Secretary, Kerry Carter.

We are bound by the ethical guidelines of ACCA and accept instructions to act for you on the basis that we will act in accordance with those ethical guidelines. A copy of these can be viewed at our offices on request or at www.accaglobal.com.

 

Period of engagement

Thisengagement will start on today’s date (as outlined in the “Acceptance” section).

 

While we agree to assist you with this service, we accept no responsibility if you are unable to complete the process. It remains your sole responsibility to ensure that you obtain the Directors Code by the deadline set by Companies House, including taking any necessary steps to acquire it directly if required.

Our fee will only be charged once we have successfully obtained the code and completed the process on your behalf.

 

Scope of services

 

Our responsibility to you

We have set out the agreed scope and objectives of your instructions within this letter of engagement. Any subsequent changes will be discussed with you and where appropriate a new letter of engagement will be agreed. We shall proceed on the basis of the instructions we have received from you and will rely on you to tell us as soon as possible if anything occurs which renders any information previously given to us as incorrect or inaccurate. We shall not be responsible for any failure to advise or comment on any matter that falls outside the specific scope of your instructions. We cannot accept any responsibility for any event, loss or situation unless it is one against which it is the expressed purpose of these instructions to provide protection.

 

Your responsibility to us

The advice that we give can only be as good as the information on which it is based. In so far that information is provided by you, or by third parties with your permission, your responsibility arises as soon as possible if any circumstances or facts alter, as any alteration may have a significant impacton the advice given. If the circumstances change therefore, or your needs alter, advise us of your alteration as soon as possible in writing.

 

We have listed below the work that you have instructed us to carry out, the detail of which is contained in the attached schedule. This states your and our responsibilities in relation to the work to be carried out. If we agree to carry out additional services for you, we will provide you with a new or amended engagement letter. Only the services that are listed in the attached schedules are included within the scope of our instructions. If there is additional work that you wish us to carry out which is not listed in the schedule, please let us know and we will discuss with you whether they can be included in the scope of our work.

 

Fees

Our fees will be charged in accordance with our attached standard terms and conditions. Please review these to ensure that you understand the basis of our charges and our payment terms.

Limitation of liability

We specifically draw your attention to paragraph 19 of our standard terms and conditions, which sets out the basis on which we limit our liability to you and to others. You should read this in conjunction with paragraph 18 of our standard terms and conditions, which excludes liability to third parties.

We are not aware of any third parties who are entitled to rely on the work done pursuant to this engagement letter.

 

We have discussed and agreed a limitation in our aggregate liability, to you which we both regard as fair and reasonable in the circumstances of this assignment. The aggregate liability to you that we have agreed, and whether in contract or otherwise of this company, its directors, employees and agents for any losses in any way connected with any of the services provided to you under the terms of this letter of engagement (and including interest) shall not exceed the sum of £100,000. In agreeing this figure with you, we have taken into account the nature of the engagement, the availability to us of insurance cover and other options available to you.

 

We would advise you to take independent advice before signing this engagement letter since, by doing so, you will agree to its terms including the limitations on our liability.

 

Requirements of theData Protection Act (DPA) 2018 and the General Data Protection Regulation(GDPR)

The DPA 2018 and GDPR set out a number of requirements in relation to the processing of personal data.

We take your privacy and the privacy of the information we process seriously. We will only use your personal information and the personal information you give us access to under this contract to administer your account and to provide the services you have requested from us.

In signing this letter, you will be indicating that you have read andagreed the terms under which we operate as set out in this notice. In addition,please note that we require your agreement on several specific points, which are also included in the acceptance section below:

*if you require us to correspond with you by email that is not encrypted or password protected, you also accept the risks associated with this form ofcommunication.

 

(a)Other services

We want to make sure you know that by being a client of Jerroms we will keep you informed of changes in legislation relevant to your industry. We need to keep you updated about changes in your industry and the things that are important to you.

 

To do this, Jerroms have a range of methods to bring this information to you. Jerroms runs seminars, events and clinics whilst broadcasting monthly practice news. (b)  Commissions

We may receive commission,referral fees or other financial benefit arising from the Services we provide to you. These will usually be a fixed percentage of no more than 8% of any reduction in your liabilities achieved as a result of the referral. This will be paid by the referee to Jerroms following completion of works and payment by you to the referee.  By signing this Engagement Letter, you consent to such commission or other benefits being retained by us without our being liableto account to you for any such amounts.

 

Your agreement

This letter should be read in conjunction with the firm’s privacy notice and standard terms and conditions.

 

Please confirm your agreement to the terms of this letter and the standard terms and conditions by utilising the E-Sign function through Adobe Acrobat. By doing this you are acknowledging receipt of this letter and the schedule attached, the privacy notice and the standard terms and conditions, which fully record the agreement between us concerning our appointment to carry out the work described above.

 

 

You or we may vary or terminate our authority to act on your behalf at any time without penalty. Notice of variation or termination must be given in writing.

 

If this letter is not in accordance with your understanding of the scope of our engagement or your circumstances have changed, please let us know.

Acceptance

I acknowledge receipt of your letter dated 16 June 2026, privacy notice and standard terms and conditions, which fully record the agreement between us concerning yourappointment to carry out the work described above. I confirm that wehave read and understood the contents of these documents and agree that itaccurately reflects my fair understanding of the services that I require you toundertake.

 

I also confirm the following in relation to data protection:
